Supplier's Agreement
Effective Date: 02 February 2026
This Supplier Agreement ("Agreement") governs the relationship between BAMBAMLOAD LIMITED ("BamBamLoad", "the Company", "we", "our", or "the Platform") and any person or entity registered as a supplier on the BamBamLoad marketplace platform ("Supplier").
By registering as a Supplier on the Platform, you agree to be bound by this Agreement and all incorporated policies.
1. Definitions
For the purpose of this Agreement:
Platform means the BambamLoad website, mobile application, or digital marketplace operated by BambamLoad Limited.
Supplier means any individual or entity registered to supply construction materials through the Platform.
Customer means any user who purchases materials through the Platform.
Order means a request placed by a Customer through the Platform for the supply of materials.
Delivery means the transportation of materials to the delivery location specified in an Order.
2. Supplier Registration and Enrollment
To supply materials through the Platform, the Supplier must:
- complete the Supplier registration process
- provide accurate business and contact information
- submit any required identification or verification documents
- provide valid bank account details for payment settlement
The Company reserves the right to approve, reject, or suspend Supplier registration at its discretion.
3. Appointment
The Company operates an online marketplace platform known as BamBamLoad, which facilitates the connection between customers and independent suppliers of construction materials.
The Company hereby authorizes the Supplier to list and supply construction materials through the Platform subject to the terms of this Agreement.
The Supplier accepts the appointment and agrees to comply fully with the terms of this Agreement.
4. Independent Contractor Status
The Supplier operates strictly as an independent contractor.
Nothing contained in this Agreement shall be construed as creating:
- an employment relationship
- a partnership
- an agency relationship
- a joint venture
The Supplier shall not represent itself as an employee, representative, or agent of the Company.
5. Marketplace Intermediary Status
The Supplier expressly acknowledges and agrees that BamBamLoad operates solely as a digital marketplace platform.
The Company:
- does not manufacture or supply construction materials
- does not act as an agent
- does not mine sand or granite
- does not store construction materials
- does not operate transportation services
- does not take ownership of materials listed on the Platform
All transactions conducted through the Platform are direct commercial transactions between Customers and the Supplier.
The Company shall not be deemed a party to such transactions and shall not bear liability for the performance or non-performance of the Supplier.
6. Products
The Supplier may list and supply construction materials including but not limited to:
- Sand
- Granite
- Stone aggregates
- Blocks
- Cement
- Other building materials approved by the Company
All materials supplied must comply with applicable construction standards and relevant regulatory requirements.
7. Supplier Obligations
The Supplier shall:
- provide accurate descriptions of all materials listed on the Platform
- maintain accurate pricing information
- ensure availability of listed materials
- fulfill confirmed orders in a timely manner
- comply with applicable laws and industry standards
The Supplier shall ensure that all materials supplied are suitable for construction use.
8. Measurement and Quantity Responsibility
The Supplier shall be solely responsible for
- The measurement
- Loading
- Quantity accuracy
The Supplier warrants that the quantity delivered shall correspond with the quantity ordered by the Customer.
The Company shall not be responsible for any dispute relating to the measurement, weight, volume, or quantity of materials supplied by the Supplier.
9. Material Quality Responsibility
The Supplier shall be solely responsible for the quality, suitability, and compliance of all materials supplied through the Platform.
The Supplier warrants that all materials supplied:
- are suitable for construction use
- meet industry quality standards
- are free from contamination or defects
The Company shall not be liable for any losses arising from defective or substandard materials supplied by the Supplier.
10. Order Management
Upon receiving an Order through the Platform, the Supplier shall:
- confirm the availability of materials
- prepare materials for delivery
- coordinate loading and dispatch
Failure to fulfill confirmed Orders may result in suspension from the Platform.
11. Delivery Responsibility and Risk Allocation
Delivery may be carried out by:
- the Supplier
- independent Transporters engaged through the Platform
The Supplier shall bear full responsibility for materials until delivery has been completed and accepted by the Customer.
The Supplier shall ensure that:
- materials are properly loaded
- materials correspond with the order specification
- materials are prepared for safe transportation
Any loss, shortage, or damage occurring prior to delivery shall be the responsibility of the Supplier or any transporter engaged by the Supplier.
12. Inspection and Acceptance
Customers must inspect materials upon delivery.
At the point of delivery, the Customer or the Customer's authorized representative shall have the opportunity to examine the materials and either accept or reject them.
Acceptance of the materials shall constitute confirmation that the materials are satisfactory in quantity and quality.
Once accepted and delivery is completed, the transaction shall be deemed final and no returns, refunds, or replacements shall be permitted.
Where the Customer or an authorized representative is not present at the delivery location, delivery to the designated location shall constitute acceptance.
13. Pricing
The Supplier shall determine the price of materials listed on the Platform.
The Supplier agrees that:
- prices must be accurate
- hidden charges are prohibited
- misleading pricing practices are prohibited
The Company reserves the right to remove or suspend suppliers who engage in unfair pricing practices.
14. Platform Service Fees
The Company may charge service fees or commissions on transactions conducted through the Platform.
15. Payment & Third-Party Processors
Payments are processed via third-party providers (e.g. Paystack).
The Company:
- Does not process payments
- Does not hold funds
- Is not a financial institution
BamBamLoad shall not be liable for:
- Payment delays
- Failed transactions
- Chargebacks
- Gateway errors
- Fund holds or reversals
16. Right of Set-Off
The Company reserves the right to deduct any losses, liabilities, or claims arising from the Supplier's actions from any payments due to the Supplier.
17. Supplier Indemnity
The Supplier shall indemnify and hold harmless BambamLoad Limited, its directors, employees, and agents from any claims, damages, liabilities, losses, or expenses arising from:
- defective materials
- inaccurate quantity supplied
- delivery disputes
- customer complaints
- supplier negligence
- breach of this Agreement
18. Data Protection
The Supplier shall comply with all applicable data protection laws including the Nigeria Data Protection Act 2023 when handling Customer information obtained through the Platform.
Customer data must:
- Be used only for order fulfillment
- Not be shared or misused
19. Platform Intermediary and Non-Joinder Clause
BamBamLoad Limited operates solely as a digital marketplace platform that facilitates connections between Customers, Suppliers, and Transporters.
The Company does not manufacture, supply, store, transport, or take possession of construction materials listed on the Platform.
Accordingly, the Company shall not be deemed:
- a seller of materials
- a transporter of materials
- an agent of any Supplier
- an agent of any Transporter
- a joint contracting party in transactions between Customers and Suppliers
All contracts for the supply and delivery of materials are entered into directly between the Customer and the relevant Supplier and/or Transporter.
To the fullest extent permitted by law, the Company shall not be liable for:
- defective or substandard materials supplied by Suppliers
- incorrect quantity or measurement of materials
- delivery delays or transportation issues
- accidents involving delivery vehicles
- construction defects or structural failures arising from materials supplied
- acts or omissions of Suppliers or Transporters
- customer-provided incorrect delivery information
- technical failures or downtime of the Platform
- disruptions caused by third-party service providers
- force majeure events or circumstances beyond the Company's reasonable control
In no event shall BamBamLoad be liable for indirect, incidental, consequential, or special damages, including but not limited to:
- loss of profits
- project delays
- loss of business opportunity
- construction losses
Any claims arising from the supply or delivery of materials shall be directed solely against the relevant Supplier or Transporter, and not against the Company.
20. Limitation of Liability
Total liability of BamBamLoad shall not exceed the service fees earned from the transaction.
21. Platform Technology Disclaimer
BamBamLoad operates a digital platform that relies on internet connectivity, software systems, and third-party service providers to facilitate transactions between Customers, Suppliers, and Transporters.
While the Company makes reasonable efforts to ensure the reliability and availability of the Platform, the Company does not guarantee that the Platform will operate continuously or without interruption.
Accordingly, BamBamLoad shall not be liable for any losses, delays, or damages arising from:
- temporary or prolonged unavailability of the Platform
- server downtime or hosting failures
- software errors, bugs, or system malfunctions
- internet connectivity interruptions
- failures of payment gateways or third-party service providers
- unsuccessful order submissions caused by system errors
- data transmission errors or delays
The Company shall make reasonable efforts to restore normal operations as soon as practicable where any technical disruption occurs.
Use of the Platform is at the User's own risk.
22. Confidentiality
The Supplier shall treat all information obtained from the Company as strictly confidential including:
- customer data
- operational information
- pricing structures
- platform information
This obligation shall survive termination of this Agreement.
23. Account Suspension and Termination
The Company reserves the right to suspend or terminate the Supplier's access to the Platform where the Supplier:
- provides false information
- fails to fulfill confirmed orders
- engages in fraudulent practices
- receives repeated customer complaints
- breaches the terms of this Agreement
This Agreement shall remain in force until terminated by either Party.
Either Party may terminate this Agreement by giving 30 days notice
The Company may terminate immediately in the event of misconduct or breach of this Agreement.
24. Incorporated Policies
This Agreement incorporates the following policies, which form part of this Agreement:
- Supplier Code of Conduct
- Delivery and Logistics Policy
- Refund Policy
- Platform Acceptable Use Policy
These policies may be updated from time to time.
25. Dispute Resolution
Any dispute arising from this Agreement shall first be resolved amicably.
Where amicable settlement fails, the dispute shall be referred to arbitration in Lagos State in accordance with the Arbitration and Mediation Act 2023.
26. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
27. Electronic Acceptance
By registering as a Supplier on the Platform and clicking "Agree and Continue", the Supplier confirms that they have read, understood, and agreed to be bound by this Agreement.
