Terms of Use

Welcome to BamBamLoad, a digital marketplace platform operated by BAMBAMLOAD LIMITED ("Company", "we", "us", or "our").

The Platform connects Customers with independent Suppliers and Transporters for the supply and delivery of Building materials.

By accessing or using the Platform, you agree to be bound by these Terms and all incorporated policies.

These Terms incorporate by reference the following policies, which form an integral part of this Agreement:

• Delivery & Logistics Policy
• Supplier Policy
• Refund & Payment Policy
• Acceptable Use Policy
• Privacy Policy

In the event of any conflict, these Terms shall prevail unless expressly stated otherwise.

BamBamLoad operates strictly as a technology-enabled intermediary platform.

The Company:

• Does not manufacture, own, sell, or supply materials
• Does not provide transportation services
• Does not act as agent for any Supplier or Transporter
• Does not own trucks
• Does not mine sand or granite

All transactions are entered into directly between Customers and Suppliers.

Users must be at least 18 years old and possess legal capacity to contract.

By using the Platform, you confirm that:

• The information you provide is accurate
• You have legal capacity to enter contracts
• You will comply with these Terms and Conditions

Users are responsible for:

• Accuracy of information
• Security of login credentials
• All activities under their account
• Notifying the Company of unauthorized access

The Company shall not be liable for unauthorized account use.

Orders placed on the Platform constitute legally binding electronic agreements between Customers and Suppliers.

The Company is not a party to such contracts.

BamBamLoad utilizes third-party payment providers, including but not limited to Paystack, to facilitate transactions.

By using the Platform, you acknowledge:

• Payments are processed by independent third parties
• BamBamLoad does not control payment processing systems

To the fullest extent permitted by law, BamBamLoad shall not be liable for:

• Failed or declined transactions
• Delayed settlements
• Chargebacks or reversals
• Payment gateway errors or downtime
• Actions taken by payment providers, including fund holds or suspensions

All payment disputes are subject to the terms of the relevant payment provider.

All payment disputes shall be governed by the Refund & Payment Policy.

The Company reserves the right to:

• Hold, delay, or suspend payments
• Reverse transactions where necessary
• Cancel suspicious or fraudulent orders

Users shall be solely responsible for:

• Chargebacks
• Fraudulent transactions
• Payment disputes

BamBamLoad reserves the right to recover any losses, fees, or penalties arising from such events.

By using the Platform, you consent to receive SMS notifications relating to:

• Orders
• Deliveries
• Payments
• Account activity

SMS services may be provided through third-party providers.

BamBamLoad shall not be liable for:

• Delayed or undelivered messages
• Transmission errors
• Service interruptions

Users must ensure correct phone numbers are provided.

Use of the Platform and all transactions conducted through it are entirely at the User's sole risk.

The Company does not guarantee:

• Quality of materials
• Accuracy of listings
• Timeliness of delivery
• Availability of services

The Platform is provided on an "as is" and "as available" basis.

The Company makes no warranties regarding:

• Service availability
• Accuracy
• Reliability

To the fullest extent permitted by law:

The Company shall not be liable for:

• Acts or omissions of Suppliers or Transporters
• Defective or substandard materials supplied by Suppliers
• Delivery failures, delays or transportation issues
• Incorrect quantity or measurement of materials
• Accidents involving delivery vehicles
• Construction defects or structural failures arising from materials supplied
• Customer-provided incorrect delivery information
• Technical failures or downtime of the Platform
• Disruptions caused by third-party service providers
• Force majeure events or circumstances beyond the Company's reasonable control
• Any indirect, incidental, or consequential damages

The total liability of the Company, if any, shall not exceed the total service fees paid by the User to the Company in relation to the transaction giving rise to the claim.

You agree to indemnify, defend, and hold harmless the Company from and against all claims, losses, damages, liabilities, and expenses arising from:

• Your use of the Platform
• Breach of these Terms
• Transactions with Suppliers or Transporters
• Third-party claims

The Company shall not be liable for failure or delay caused by events beyond its reasonable control, including but not limited to:

• Fuel scarcity
• Road conditions
• Security issues
• Government actions
• Natural disasters
• Flooding
• Fire
• War
• Civil unrest
• Government restrictions
• Road closures

The Company may:

• Suspend accounts
• Remove users or listings
• Block access
• Terminate services

At its sole discretion, with or without notice.

All Platform content remains the exclusive property of the Company.

BamBamLoad operates a digital platform that relies on internet connectivity, software systems, and third-party service providers to facilitate transactions between Customers, Suppliers, and Transporters.

While the Company makes reasonable efforts to ensure the reliability and availability of the Platform, the Company does not guarantee that the Platform will operate continuously or without interruption.

Accordingly, BamBamLoad shall not be liable for any losses, delays, or damages arising from:

• Temporary or prolonged unavailability of the Platform
• Server downtime or hosting failures
• Software errors, bugs, or system malfunctions
• Internet connectivity interruptions
• Failures of payment gateways or third-party service providers
• Unsuccessful order submissions caused by system failures
• Data transmission errors or delays

The Company shall make reasonable efforts to restore normal operations as soon as practicable where any technical disruption occurs.

Use of the Platform is at the User's own risk.

BamBamLoad reserves the right to modify these Terms at any time.

Continued use of the Platform constitutes acceptance of such modifications.

Any dispute shall first be resolved amicably.

Where amicable settlement fails, disputes shall be referred to arbitration in Lagos State in accordance with the Arbitration and Mediation Act 2023.

All claims must be brought individually.

Users waive any right to participate in class actions or representative proceedings.

BamBamLoad shall not be made a party to any dispute, claim, or proceeding arising between Customers, Suppliers, or Transporters.

These Terms shall be governed by the laws of the Federal Republic of Nigeria.
